This is a legally binding agreement between (“you”) and Cozyrender regarding your use of the Site. “You” refers to the entity bound by these Terms of Use (“Terms”), whether that is a natural person who must be at least 18 years of age or a corporate entity.
These Terms may be translated into other languages, but the governing language is English in the event of any contradiction in terms between the English and foreign translation.
I. Definitions
“Cozyrender” includes Cozyrender and all licensed affiliates and partners that distribute Stock Media Products on behalf of Cozyrender.
“Stock Media Product” is the collection of one or more digital files, images, or videos packaged in the form of a product on the Site that can be identified by a product ID, and that is uploaded by you, or otherwise made available to you, for Purchase on the Site. A Stock Media Product may include 3D models, texture maps, motion captures, photographs, imagery, application and plug-in software, materials and shaders, shapes and vector graphics, training materials, building components, sound effects, stock music, and videos. Additionally, a Stock Media Product may include several individual files of different file formats to make it easier for Customers to work in a variety of software applications (such as 3ds Max, Maya, and Cinema 4D), and may also include other files (such as jpeg images used for texturing), and images or other files that are used for promotional purposes. For Customers and their use in Creations, this definition also includes derivative and intermediary files used for that purpose.
“Site” refers to the Cozyrender website, APIs, software applications or any approved means or utility either currently in existence or the future; the software and source code used by Cozyrender to provide such services; user interface layouts, designs, images, text, knowledge base articles, program offers; site information provided in reports (such as popular keyword searches); and all other intellectual property protected under copyright, trademark, patent, publicity, or any other proprietary right.
Terms like “include”, “including”, and “such as” shall be interpreted as “including but not limited to.”
II. General Use
1. General License to the Site
a. Ownership
Except as expressly licensed to you in these Terms or other agreements, Cozyrender and the owners of Stock Media Products retain all rights, title, and interest in and to the services provided by Cozyrender, including the Site and all Stock Media Products.
b. Unauthorized Use
If you use the Site or Stock Media Products in an unauthorized way, Cozyrender may terminate your account and pursue all remedies available under law or equity. Prohibited uses include:
i. Repackaging, linking, or framing the Site or its content for commercial use without permission.
ii. Removing or obscuring watermarks, copyrights, or proprietary notices.
iii. Crawling, scraping, mining, or aggregating data.
iv. Decompiling, reverse engineering, or creating derivative works.
v. Interfering with another user’s experience.
vi. Attempting to circumvent security or access controls.
vii. Contacting Cozyrender artists for recruitment or unrelated reasons.
viii. Sharing private or semi-private content without permission.
2. Material Submitted by You
Cozyrender does not claim ownership or liability for materials you submit. However, you agree not to:
a. Post disruptive or unconstructive content.
b. Share personal or contact information without consent.
c. Post defamatory, harmful, obscene, or illegal material.
d. Spam, advertise, or manipulate discussions.
e. Post malicious code or links.
f. Infringe on third-party rights.
g. Share restricted/private content from the Site.
III. Warranties
You represent and warrant that:

You have full legal authority to enter into this agreement and have secured all third-party consents.

You will comply with all terms herein while using the Site.
IV. Limitation of Liability

The Site is provided “as is” and “as available”, without warranties of any kind, including accuracy, usability, non-infringement, or merchantability.

You accept full responsibility for any damage to your system, data, or network from using the Site.

Cozyrender is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Site. Some limitations may not apply in certain jurisdictions.

You agree to indemnify and hold harmless Cozyrender, its affiliates, officers, partners, and staff from any claims arising from your use of the Site or content you submit.
V. Termination and General Terms
1. Entire Agreement
This document constitutes the entire agreement between you and Cozyrender unless superseded by a separate, signed license (e.g., Publishing Agreement, Royalty-Free License, or corporate agreement). Corporate licenses are available upon request via [email protected].
2. Termination for Breach
Violation of these Terms may lead to suspension or termination of your account. Material breaches may result in injunctive relief without need for bond. You may terminate your account by ceasing to use the Site.
3. Import/Export Regulations
You agree to comply with all relevant export/import laws. You will not reroute or export Site content to prohibited entities or nations.
4. Governing Law
This agreement is governed by the laws of England and Wales. Any legal action must be brought in courts located in London, England, and both parties agree to the exclusive jurisdiction of such courts.
5. Limited Internal Arbitration
Cozyrender may, at its sole discretion, arbitrate user disputes related to the Site or Stock Media Products. Such arbitration is final and binding. Cozyrender may take corrective actions such as revoking licenses or offering partial refunds. By using the Site, you waive your right to jury trials and judicial resolution in such disputes.

7. Assignment
Cozyrender may assign this agreement in case of acquisition, merger, or sale. You may not assign this agreement without Cozyrender’s prior written consent.
8. Language
While translations may be available, English is the governing language for this agreement.
